Dividend Once Again Tax-exempt

Haibach (near Aschaffenburg), 23 March 2016 – Adler Modemärkte AG is planning to pay the dividend of EUR 0.50 for the 2015 financial year, proposed by the Executive Board and the Supervisory Board, in full from its tax contribution account under § 27 of the German Corporation Tax Act (“Körperschaftssteuergesetz” – KStG) (these are not contributions to registered capital). The dividend is expected to be paid on 6 May 2016. As for the previous year, the dividend would be paid without any deductions for capital yields tax or solidarity surcharge. Therefore, the dividends paid to German shareholders are not subject to ongoing taxation. Tax refund or tax credit options do not exist with regard to the dividend.
According to the German tax administration, this distribution reduces the acquisition costs of the shares from a tax perspective. If the shares are subsequently sold, this may result in a higher amount of capital gains being taxed.
The Company’s Annual General Meeting held on 4 May 2016 in Aschaffenburg will resolve on the dividend proposal.
